1. General Provisions
These Terms of Service govern access to and use of People Facing, an AI-assisted public-source people research service operated by [LEGAL_ENTITY_NAME] from Lithuania, European Union. By creating an account or using the service, users agree to these terms and the policies linked from them.
This page is a working draft for legal review. It should be treated as product copy in progress until approved by counsel.
2. Definitions
Account means the user account created to access People Facing, manage credits, request reports, view available reports, and use other account-based features.
Commercial User means a natural or legal person who uses the Services for purposes related to business, trade, craft, or profession, or for mixed private and business purposes where the business purpose predominates.
Credits means prepaid units credited to an Account that may be exchanged for reports or other paid Services made available through People Facing.
Private User means a natural person who uses the Services for purposes unrelated to business, trade, craft, or profession, or for mixed private and business purposes where the private purpose predominates.
Public Sources means public websites, public professional profiles, public social media profiles, public directories, public records where lawful to use, search engine results, media references, and other publicly accessible online sources.
Report means an AI-assisted public-source people research report generated or made available through People Facing in response to a user request.
Services means the websites, applications, reports, credits, public-source research features, account features, and other paid or unpaid services made available through People Facing.
Third-Party Websites means websites, platforms, services, data sources, or payment providers that are not owned or controlled by People Facing.
User means any person who creates an Account, purchases credits, requests a Report, accesses the Services, or otherwise uses People Facing, including Private Users and Commercial Users.
3. Accounts
Some Services require an Account. A User may create an Account by providing an email address, password, and other information requested during registration. Where available, a User may also create or access an Account using supported third-party authentication providers, such as Google.
Users must provide accurate account information and keep it up to date. We may require email verification before allowing live research, credit purchases, or other account features.
Users are responsible for maintaining the confidentiality of their Account login details and for all activity that occurs under their Account, including activity by third parties where the User failed to keep login details confidential.
Users must notify us without delay at [PRIVACY_EMAIL] if they become aware of any loss, unauthorized use, or suspected breach of the security or confidentiality of their Account login details.
If a User no longer wishes to use an Account, the User may delete the Account through available account settings or by contacting us at [PRIVACY_EMAIL]. Account deletion may be delayed, restricted, or handled differently where there is active research, a pending payment, suspected misuse, a fraud or security issue, a legal obligation, unresolved dispute, or a need to retain payment, accounting, tax, security, or legal records.
4. User Responsibilities and Permitted Use
People Facing may be used only for lawful professional research where the user has a legitimate reason to understand publicly available context about a person.
Users are responsible for ensuring that their use of People Facing, the services, reports, and any information obtained through the service complies with these Terms and all applicable laws and regulations.
Users must not use People Facing for stalking, harassment, intimidation, doxxing, unlawful surveillance, discrimination, researching minors except where lawful and permitted, or decisions based on protected personal characteristics.
Users must not use automatic devices, software, algorithms, scraping tools, or similar manual or automated processes to access, acquire, copy, monitor, or bypass any part of People Facing or its content, unless we have given prior written permission.
Users must not attempt unauthorized access to any part of People Facing, any account, or any connected system or network, including by hacking, password mining, credential misuse, or any other unlawful or unauthorized means.
Users must not interfere with the proper functioning of People Facing, impose an unreasonable or disproportionately large load on our infrastructure, impersonate another person or entity, manipulate identifiers, engage in fraud, violate privacy rights, collect or store personal data unlawfully, or use the service to promote spam or other unlawful activity.
If a user uses report content for direct marketing, the user is responsible for obtaining any prior consent required from the relevant person and for complying with all applicable privacy, electronic communications, and direct marketing laws.
5. Reports
Users may purchase credits that can be exchanged for reports or other paid Services. The number of credits required for a Report or other paid Service will be shown in People Facing before the User requests that Service. Credits are added to the User's Account after payment is confirmed in accordance with these Terms and the payment process shown in the product.
The current valid price list for credits, reports, and other paid Services will be made available through People Facing. The final price applicable at the time of purchase will be displayed before payment is submitted.
User-facing access to a Report may expire after the access period shown in the product. After this period, the Report may no longer be accessible from the User's Account. If the User wishes to obtain a new or updated report, the User must request a new Report or rerun where available. Backend retention of Reports and related records is governed by the Privacy Policy.
A Report may not contain all information expected by the User or all categories indicated in any preview, scan, example, or product description. Public-source information may be unavailable, incomplete, outdated, restricted, inaccurate, ambiguous, or unavailable in certain jurisdictions or for certain persons.
Reports summarize public-source information and may be incomplete, outdated, misattributed, AI-generated, or incorrect. Reports support human judgment; they are not identity verification, background checks, consumer reports, or substitutes for professional diligence.
Users are responsible for independently reviewing source material, verifying important information before relying on it, and for any decisions they make using People Facing output. Information in a Report should not be treated as an offer, recommendation, instruction, or definitive assessment regarding any transaction, relationship, or activity.
Users may share or use Reports for lawful evaluation purposes, subject to these Terms, the Privacy Policy, the Acceptable Use Policy, and applicable law. Users must not resell Reports or use a Report itself as the subject of a commercial transaction, data brokerage activity, or similar direct commercial activity without our prior written permission.
6. Restricted Decisions
Users must not present a People Facing report as definitive proof about a person or use it as the sole basis for high-impact employment, housing, credit, insurance, education, criminal justice, immigration, or legal decisions.
We will decide whether these terms prohibit certain employment-screening uses entirely or support them only under a separate compliance program.
7. Credits and Billing
People Facing is intended to start on a pay-as-you-go basis. Users may purchase prepaid credits and use those credits to request Reports or other paid Services. The agreement for paid Services becomes effective when payment is received or when credits are otherwise confirmed in the User's Account, unless a separate written agreement provides otherwise.
Users may pay for paid Services using the payment methods made available in the product or during checkout. Purchases may be handled by third-party payment providers subject to their own terms. Private Users will receive paid Services after payment is confirmed. Commercial Users may receive paid Services under these Terms or under a separate written agreement.
The current valid price list for credits, Reports, and other paid Services will be made available through People Facing. The final price applicable at the time of purchase, including applicable taxes where shown, will be displayed before payment is submitted.
We may run promotional campaigns, provide discount codes, or offer different pricing for different Services, markets, countries, or customer types. Discount codes apply only if valid, used correctly, and accepted during the payment process.
For tax purposes, paid Services may be treated as digital services. Where value added tax (VAT) or similar taxes apply, we may determine and apply tax based on the User's residence, billing information, technical information, payment information, or other information provided by the User. Users are responsible for providing accurate billing and residence information.
Where required, VAT invoices or other purchase records will be made available through the User's Account, by email, or through the applicable payment provider.
Private Users may have the right to cancel a paid Service or withdraw from a contract within [PRIVATE_USER_CANCELLATION_PERIOD] by contacting us at [PRIVACY_EMAIL] and identifying the relevant order, purchase date, contact details, and request. Where a refund is due under applicable law or these Terms, we will process it within [REFUND_PROCESSING_PERIOD] after receiving the cancellation or refund request.
8. Service Changes and Termination
People Facing may change, suspend, limit, or discontinue parts of the service to improve the product, maintain security, comply with law, prevent misuse, or adapt to changes in our business model. Changes to prices or paid features will apply prospectively and will not reduce rights for credits or reports already purchased, except where required by law, these Terms, or misuse enforcement.
If a change materially restricts the rights of a private user, we will provide advance notice where required by applicable law. Continued use of People Facing after the effective date of changes may be treated as acceptance of those changes, subject to mandatory consumer rights.
We may limit, suspend, or terminate access to People Facing if a user breaches these Terms, violates applicable law, threatens the security or integrity of the service, infringes the rights of another person, misuses reports, or creates legal, regulatory, or operational risk for us or other users.
Where reasonably possible, we will notify the affected user using the email address associated with the account. A user whose access is terminated for a violation may not create a new account or use the service again without our prior written permission.
We may temporarily limit access to the service for technical maintenance, upgrades, urgent security reasons, provider outages, or related operations. In urgent situations, such limitations may occur without prior notice.
9. Personal Data Protection
Information about how we process personal data is provided in our Privacy Policy. By accepting these Terms or using People Facing, the User confirms that they have had the opportunity to read the Privacy Policy.
10. Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where the failure or delay is caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, government action, natural disasters, strikes, labor disputes, power failures, internet outages, provider outages, cyber incidents, or other events beyond our reasonable control.
If such an event affects our ability to provide the Services, our obligations will be suspended for the duration of the event. Where reasonably possible, we will take steps to reduce the impact on Users and resume the Services.
11. Liability
The User is responsible for all actions performed through the User's Account and for all decisions made using People Facing, the Services, Reports, or information obtained through the Services.
The User agrees to defend, indemnify, and hold harmless [LEGAL_ENTITY_NAME], its affiliates, service providers, representatives, managers, employees, contractors, and advisers from losses, damages, claims, liabilities, penalties, costs, and expenses arising from the User's breach of these Terms, violation of applicable law, violation of another person's rights, misuse of Reports, unlawful processing of personal data, or decisions made based on information provided through People Facing.
To the maximum extent permitted by applicable law, we are not liable for loss or damage arising from factual inaccuracies, omissions, outdated information, public-source limitations, unavailable records, third-party source errors, AI-generated errors, User interpretation of Reports, or decisions made based on Reports.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law, including liability for intentional misconduct, gross negligence, death or personal injury where applicable, or mandatory consumer rights of Private Users.
People Facing may contain links, references, excerpts, or other information from Third-Party Websites or Public Sources. We do not control Third-Party Websites or Public Sources and are not responsible for their content, availability, accuracy, legality, policies, or practices.
12. Intellectual Property Rights
The People Facing website, application, software, code, design, user interface, databases, trade names, trademarks, logos, service names, text, graphics, and other materials are owned by us or used with lawful authorization, except for third-party names, logos, trademarks, content, or materials that belong to their respective owners.
Users receive a limited, revocable, non-exclusive, non-transferable right to access and use People Facing and Reports for lawful purposes permitted by these Terms. No ownership rights are transferred to Users.
Except as expressly permitted by these Terms or with our prior written consent, Users must not copy, reproduce, record, scrape, publish, transfer, sell, modify, license, sublicense, distribute, publicly display, adapt, reverse engineer, create derivative works from, or otherwise exploit People Facing, its software, content, source code, databases, or Reports.
All third-party product names, logos, brands, trademarks, and content are the property of their respective owners. Their appearance in People Facing or a Report does not imply endorsement, affiliation, or approval unless expressly stated.
13. Applicable Law and Dispute Resolution
These Terms, the Services, and all activities related to People Facing are governed by the laws of the Republic of Lithuania, unless mandatory consumer protection rules provide otherwise.
We and the User will try to resolve disputes through good-faith negotiations. If a dispute cannot be resolved by negotiation, it will be resolved by the competent court in accordance with applicable law.
Disputes between us and Commercial Users will be resolved by the competent court at the domicile of [LEGAL_ENTITY_NAME], unless a separate written agreement provides otherwise.
Private Users who believe their rights or legitimate interests have been violated may submit a written complaint to us at [PRIVACY_EMAIL]. If the Private User is not satisfied with our response, the Private User may contact the competent consumer rights protection authority or use another dispute-resolution mechanism available under applicable law.
14. Information Protection Measures
Users are responsible for maintaining the confidentiality of Account login details and should use caution when accessing People Facing, especially from shared or public devices. Users should log out after finishing their session where another person may access the same device.
Although we take measures intended to protect information processed through People Facing, information transmitted over the internet cannot be guaranteed to be absolutely secure.
15. Final Provisions
These Terms, together with the policies and notices referenced in them, form the agreement between the User and [LEGAL_ENTITY_NAME] regarding the Services, unless a separate written agreement states otherwise.
We may enter into separate written agreements with Users. Unless expressly stated otherwise, these Terms will apply to such agreements to the extent they do not conflict with the separate written agreement.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain valid and enforceable to the fullest extent permitted by law.
We may assign or delegate all or part of our rights or obligations under these Terms, provided that this does not unlawfully reduce the rights of Private Users. Users may not assign or transfer these Terms or any rights or obligations under them without our prior written consent.
Failure to enforce any provision of these Terms will not be treated as a waiver of that provision or of any other rights.
